Gentlemen:

We represent Trebil, Inc. and Elizabeth M. Towers, the
President of Trebil, Inc.

Attached is a copy of an executed agreement between Trebil,
Inc. and St. Augustine Restoration, Incorporated, concerning the
transfer of real property. Also attached is a copy of a letter to
Frank Upchurch, Jr. from Wm. B. Towers.

We understand the transfer of these properties will take
place shortly. We wanted to call to your attention the provisions
of the letter concerning the fence and gate, and the provisions of
the agreement, In Paragraph 6, concerning a right of refusal.

Dear Frank:

Enclosed you will find the Agreement properly
executed. I would appreciate your returning me a
copy in the self-addressed, stamped envelope after
you have executed it. I will forward the con-
struction mortgage under separate cover this week.

I spoke to Mr. Rolleston today about tthe
wrought iron fence and gate around the parcel
that we are trading to the St. Augustine Restoration
Commission. My mother is very anxious to use this
fence and gate in the restoration of the parcel you
are selling to us. Of course we will have no use
for the concrete fence around the parcel we are
trading to you. It is our understanding with Mr.
Rolleston that we can remove the gate and fence
upon giving you thirty (30) days notice at any
time. We are therefore sending you these papers
with the understanding that the fence and gate
remain our property. I am sure that my mother
will not need this fence in the near future, how-
ever, she does want to use it on her new home.

AGREEMENT


For and in consideration of the mutual covenants herein

contained TREBIL, INC., a Florida corporation, hereinafter called

.Trebil", and ST. AUGUSTINE REITORATION, INC., hereinafter called

"Restoration" stipulate, covenant and agree as follows:


1. Restoration needs the following described land owned

by Trebil to implement and further the restoration program of St.

Augustine, to-wits


A parcel of land in Block 7 of the City of
St. Augustine, Florida, being more fully
described as follows: Comnoencing at the
Northeast corner of Cuna Street and St.
George Street in said City of St. Aug-ustine;
thence in a northerly direction on the east
line of said St. George Street 165 feet 1
inch to a point; thence continuing on said east
line of St. George Street 43.3 feet to the point
of beginning at the southwest corner of tha here-
in described parcel of land; thence continuing
in a northerly direction on said East line of St.
George Street 67.52 feet to the northwest corner
of the base of a shell concrete fence post; thence
easterly, on a line having an angle with the last
described course of 89 degrees 24 minutes in the
southeast quadrant, a distance of 150 feet; thence
in a southerly direction, on a line having an angle
with the last described course of 90 degrees 36
minutes in the southwest quadrant, distance of
62.75 feet; thence in a westerly direction, on a
line having an angle with the last described course
of 91 degrees 16 minutes in the same parcel of land
described in deed recorded in deed book 191 pagc 88,
public records of St. Johns County, Florida,


hereinafter called parcel "A", provided said parcel is repaired,

and remodeled to the extent provided herein.


2. Trebil, owner of parcel "A", in order to assist w.th

the development of said plan, has offered to excha;..e said parce!

3. Upon acquisition of pxs e "B" by Restoration,

purchase of which kewtoration cmtrols through contract. said par-

cel will be remodeled and sepaisOd As appeowed by Trebil. When a

total of $45,000.00 bha been spent for the acquisition and improve-

meont of: said parcel Trabtl will exchange parcel "A" for parcel "B'.


4. Trebil will lend or guarantee a loan to Restoration

up to the maximum su of $20,000.00 to be ieed for the acquisition

and improvement of said parcel ";BD.


5. Trebil and Restoration shall execute all papers or

documents reasonably necessary to accomp is the fact and intent of

this document, It is understood that Trebil will pay all closing

costs and that Restoration's total expense shall not exceed $45,000..00

including interest on any. loans, but. excluding attorney fees.


6. Should Restoration at s 'me future date after eKicange

of said land elect to sell or dispose of parcel "A to apy party not

developing the Rostoration plan and program et St, Augustine, Rcstora-

tion hereby grants to Trebil, Wim. B. Towers or C. D. Towers, Jr., .1e

right to purchase or acquire said land on the same terms And condi-

tions as negotiated with third: parties. Trebil, Win. B. Towers, or

C. D. Toweas, Jr. shall have five (5) days after receipt of notice

of said terms and conditions within which to accept or reject suid

7. Conveyance of said lands, where required shall be by

full warranty deed free and clear of all liens and encumbrances

other than current taxes and city or county zonning regulations.
