Dear Farris:
I am writing to you as a party to the Agreement of
September 26. 1974 with Harte-Hanks Newspapers, Inc. in which
you agreed to sell to Harte-Hanks. under the terms and conditions
of the Agreement. certain shares of the stock of TeLeVision 12
of Jacksonville. Inc. which you own.
Article X of the Agreement provides that if Harte-Hanks
offers to purchase all shares of the capital stock of TeLeVision
12 owned by stockholders who are pg; parties to the Agreement of
September 26. 1974. at a price or on terms different from those
set forth in your Agreement. then you have the right. for a period
of fifteen days from the date on which such alternative offer is
made, to accept that offer in lieu of this Agreement.
Harte-Hanks Newspapers, Inc. has now offered to purchase
all shares of the common stock of TeLeVision 12 of Jacksonville,
Inc. under an Exchange Offer dated January 16, 1975, a copy of
which you should have received by now. and the price and terms
of which differ from those set forth in your Agreement with Harte-
Hanks. Therefore. you have the option of entering into the Exchange
Offer with Harte Hanks for the sale of your shares. provided you do
so no later than January 31I 1975.
If you should desire to sell your shares under the terms
of the Exchange Offer rather than the Agreement of September 26,
1974, then you should forward the Letter of Transmittal and executed
Agreement which you received from Harte-Hanks, to the Atlantic National
Bank as Exchange Agent. Since the Bank is already holding your certi-
ficate representing the shares which you agreed to sell under the
September 26. 1974 Agreement. then. of course. you do not need to
send such certificate with the new Agreement.
