Gentle PeOple:

I an sure you recall the substantial amounts of
money which Florida Gateway Television Company borrowed in
1969 from Jacksonville National Bank for that company's in-
vestments in the Joint Venture to operate TV 12. INC. As
I am sure you also recall. we were able to obtain these loans
by giving the Bank our individual Guaranty to a limit of
$200,000.00. a copy of which I enclose.

When Florida Gateway was merged into TV 12. INC. in
1973 the Television company assumed Gatewavs obligations to
the Bank. The Bank now requires that the old Gateway obliga-
tions be replaced by a new note for $100,000.00 to be made
by TeLeVision 12 of Jacksonville. Inc., and also requires
that our Guaranty remain effective for the substitute note.
Accordingly. I also enclose herewith an Extension and Substi-
tution Agreement for your signature which will transfer our
Guaranty to the new note.and will appreciate your executing
and returning it to me as soon as possible. A copy thereof
is also included for your file.
