MEMORANDUM

W h Our Executive Director, Mr. Column, has advised me
W 6 that am restructuring the

position of Executive Director,nnd since he will be reaching

optional retirement age in November, he is desirous of retiring

from the government at the end of this calender year. If he

retires as a consequence of 3&8 redefinition of the position.

he will not suffer any loss in any Federal retirement benefits.

If he were merely to resign from the Commission, retirement

benefits would be reduced considerably. Although I am sure all

0 us will bi sorry to see Mr. Colman leave the government. 1 w M

V 'n his desires in this matter.

With respect to this post. Section 6(c) of the Act
provides as follows:

"(c) The Commission shall have power to
appoint, fix the compensation of, and remove
an executiVe director without regard to the
civil service laws and the Classification Act
of 1959. Such appointment shall be made solely
on the basis of fitness to perform the duties
of the position and without regard to political
affiliation."

Section bit) of the Act provides that:

"...the executive director of the Cue-is-

sion my be paid compensation at any rate not

exceeding the rate prescribed for level V in

the Federal Executiva Salary Schedule of the

Federal Executive Salary Act of 1964."

The letter and spirit of Section He) is that the total
membership at the emission select the Executive Director. 1
vould suggest for your consideration that we have a Commission
subconsnittee consider the matter of the future duties and
respunsibilities of the Executive Director position and then
consider possible appointees to the position. in this connection,
1 might note for the benefit of recently appointed members of the
Concussion, and I an sure other members will hear me out. that the
Cominion's staff already has three or more people who would

probably be given careful consideration in filling the position.

1 am prepared to appoint a subco-Iittaa comprising a
representatiVe of each sealant of the Coniasion's membership with
a request that the subconuittee cm to the September meeting of
the Comission with sane recommendations on this matter. This
could be discussed in executive session at the September electing
and perhaps sous tentative decisions made at that time. This would
permit adequate planning by all concerned and adequate consultation
between the outgoing and incoming Executive Director. however, I
will delay appointing such a subcauittee until you have a chance
to react. with any alternate procedure that you would prefer. On
this matter. because of its nature. please cemnicate uith ne
