Dear John:

The submission of the Pennsylvania-New York
Central merger proposal to the Supreme Court
assures early action on this case. I have
talked with the Department of Justice on your
behalf and conveyed your keen interest in an
early -- and affirmative -- conclusion.

At the time of my lest conversation (October 13).
the Department had not reached a final conclu-
sion as to their position in the case. My opinion is

that they will not take a position -- but that is
just a "hunch. "
